• Definitions
Wherever the following terms/words appear in the Terms and Conditions, they mean:
“We/Speaker/Company” refers to the Saudi Artificial Intelligence Company and is also referred to as “the second party”
“Saudi Part” is an electronic platform that provides the public sale service for vehicles electronically via the website or application by enabling the user to bid on the vehicles offered in the auction in accordance with the terms and conditions, and it is one of the electronic services provided by the Saudi Artificial Intelligence Company Limited in the Kingdom of Saudi Arabia.
"Auction" is a public sale that involves offering a commodity for sale through the electronic application of the Saudi Artificial Intelligence Company for those wishing to purchase it to the highest bidder within a specified period of time.
"Website or/and Application" means the website of the Saudi Artificial Intelligence Company (www.saudi-part.com) or the application available in the application store for smart devices that operate on the (Android-IOS) operating systems.
"Bidder / Addressee / User" refers to a natural person or legal entity who has expressed his desire to enter the auction to bid on vehicles through the website or application.
"Vehicle" means the vehicles offered in a flexible auction for bidding by bidders.
"Vehicle Owner" means the person who has the right to dispose of the vehicle by exploiting, selling or disposing of it.
"Vehicle Display Fees" means the fees paid to display the vehicle in the auction.
"Auction Entry Insurance" means the insurance paid to be able to bid on vehicles in the auction.
"Vehicle Removal Insurance" means the insurance paid to remove a vehicle (its inspection is not valid).
"Vehicle Ready for Transfer" Ownership: Vehicles whose periodic inspection is valid and whose vehicle registration is valid, with their records free of any bans or traffic or security circulars that require the issue or suspension, in addition to the absence of violations against the owner or suspension of services or any obstacles to transferring vehicle ownership.
All expressions/terms that lead to the same meaning must be taken into account. These terms and conditions apply to the bidder's use of the website services or/and the Saudi Artificial Intelligence Company application.
• Contractual Relationship
These terms and conditions represent a "systematically binding" agreement between the company and the user. This agreement and the usage policy regulate your use of the application services or the website of the Saudi Artificial Intelligence Company. As a user, you must read the terms and conditions and the usage policy carefully before using the services of the application or the website referred to above. It is also recognized that if you do not agree to them, the site will automatically not accept to continue your registration process as a bidder and therefore you will not be able to enter the auction. Once you agree to them by clicking on "I acknowledge that I have read the terms and conditions and agree and commit to comply with what is stated therein", you will acknowledge that you have been fully aware of their content and substance.
You should also know that the company may amend the terms and conditions from time to time and the amendments will take effect immediately after they are published on the website or application without notifying you. Your continued access to the bidding stage and your use of the services of the application or the website of the Saudi Artificial Intelligence Company or your use of them after publishing the amended terms and conditions constitutes an acknowledgment of your knowledge of them and your approval To abide by them as amended.
Some supplementary terms and conditions may apply to (the usage policy for some auctions related to specific campaigns), and these supplementary terms will be disclosed to the user "if any", the supplementary terms shall prevail in the event of a conflict between them and these terms and conditions, and they shall also become an integral part of this agreement.
• Website and Application/User
The Saudi Artificial Intelligence Company platform is a digital network that acts as an "electronic" intermediary between the vehicle owner and the bidder/buyer, so that the user who wishes to purchase a vehicle can bid on it for the purpose of purchasing it.
Each bidder must create a user account that enables him to access the company's electronic platform on the web. Any decision or action taken by the user regarding the use of bidding on vehicles is based on his desire, the user must have full legal capacity and will.
• User Data
In order to use most aspects of the Saudi Artificial Intelligence Company Platform Services, you must register for and maintain an active personal user account (“Account”). You must be at least 18 years old to obtain an account. You, as a user, undertake after activating your account not to give it to any other user. The company will have the right to sue you if it becomes clear that the user information provided to it is fictitious or does not match reality. You, as a user, are also prohibited from using any natural or legal person to bid in its name. If the auction management finds that there is any tampering with the bidder’s identity, bank account, bidding card, or any fictitious/incorrect information provided to the auction management by the bidder, it has the right to confiscate the auction entry insurance. You must also acknowledge that all terms and conditions apply to you and that you are eligible. You also acknowledge that the systems of the Kingdom of Saudi Arabia have allowed you to use this platform and you do not violate any of them. Registering an account may require providing some personal information to the Saudi Artificial Intelligence Company website, such as your name, address, mobile phone number, gender, age, ID number, and the necessary permits requested by the second party to complete your registration process and activate your membership as a bidder. You also agree to record accurate, complete and up-to-date information in your personal account. Failure to enter accurate, complete and up-to-date information may result in your inability to access and use the company's platform, or your account may be blocked or closed on the company's website. You are responsible for all activities that occur in your account, and agree to maintain the security and confidentiality of your account username/bidder and password at all times. You are not entitled to own more than one account only unless the site management permits otherwise. You acknowledge that you have full legal capacity (legal capacity and performance) and that your capacity is not tainted by any of the legal and regulatory deficiencies. You also acknowledge that the regulations entitle you to own/purchase vehicles in the Kingdom of Saudi Arabia and that there are no obstacles to completing the purchase process. You also acknowledge that there is nothing preventing the transfer of ownership of the vehicle, including, but not limited to: lack of capacity, suspension of services. You may also be asked for additional information/data such as providing proof of user identity to access or use the company's electronic platform, or if you are a bidder residing in the Kingdom of Saudi Arabia and have a valid residency permit that authorizes you to practice buying and selling, it will ask for, for example, the employer, authorization to buy and sell, and other data that the company or one of its affiliates or employees may request from you. You also agree that access to or use of the company's platform may be prevented if you refuse to provide proof of user identity. Your failure to comply with the terms and conditions of the platform's website, or if it becomes clear to the company that you are in violation of any applicable system in the Kingdom of Saudi Arabia, may result in taking action against you, including but not limited to:
o Immediate temporary or permanent withdrawal of your right to use the company's platform with a ban on your ID/residency number.
o Disclosure of this information to the law enforcement authorities as we deem necessary.
o Confiscation of the auction entry insurance and vehicle exit insurance.
o Any action taken that caused material costs, you are obligated to compensate the company for any costs/amounts incurred by the company based on those violations, including, but not limited to, administrative and legal costs resulting from this breach.
• Terms and Conditions of Use of the Service
The sale through the electronic auction via the Saudi Artificial Intelligence Company platform is considered a legitimate sale, and the offer and acceptance are required. The vehicle owner’s offering of the vehicle in the auction does not mean an offer from him to sell, but rather an offer devoid of the elements of a valid sale. The bidding and price offer from the customer’s side are considered an (offer) from him that has not yet been met with the vehicle owner’s acceptance and does not mean the completion and conclusion of the sale. The vehicle owner’s acceptance of the amount of the bid offered by the bidder is required for the sale to be concluded and completed.
The user acknowledges and knows that the company does not own the vehicles displayed on the platform and is only an electronic intermediary between the vehicle owner and the bidder to facilitate the sale process and its role is limited to organizing the auction only.
The user acknowledges that the company has not and will not be responsible in any way for the vehicles displayed on the platform, and the user also acknowledges that he has no right to refer to the company after completing the sale process regarding the vehicle, including but not limited to (responsibility for transferring ownership, defects in the vehicle) and in all cases, any compensation amount paid by the company to the user or any other amounts should not exceed an amount of five hundred Saudi riyals only.
The user knows that it is not sufficient for him to be entitled to the vehicle to be awarded the auction, but rather the owner's approval of the price at which the auction was awarded is required. If the vehicle owner does not agree, the sale will not be concluded and he will not be entitled to the vehicle.
You must provide correct and accurate information and you must comply with any notifications made by the company regarding the services it provides to ensure that any operational processes carried out by the company are not obstructed.
Subject to the agreement between you and the Company under the Terms and Conditions and Terms and Conditions, the Company reserves the right to impose additional fees, cancel and amend them, or any of the above, at any time at the sole discretion of the Company. Fees may also be changed or revised at any time without your consent. Furthermore, the Saudi Artificial Intelligence Company will endeavor to inform you of the expenses and fees of the Company that may apply, and in the event that the Company is unable to reach you as a user, it is not obligated to achieve a result, and you must review the terms and conditions before using the services and follow up on their automatic update.
• Seller's Terms: Before the auction:
If the vehicle is in good condition, its periodic inspection must be valid.
As a seller, you are obligated to pay the auction fees of 1150 riyals to display the vehicle the first time and 575 riyals to display it again - if the vehicle is not bid on by the participating bidders, the vehicle will be displayed again without fees.
The display fees include the following:
o Towing the vehicle to the auction management headquarters.
o Inspecting and inventorying the vehicle.
o Sheltering the vehicle in the storage yard during the display period.
o Washing the vehicle.
o Photographing and preparing the vehicle for display.
o Displaying the vehicle at the auction.
You as a seller acknowledge that you know that the vehicle amount will be transferred to your bank account after transferring its ownership within 5 business days.
You as a seller acknowledge that you know that if there is no periodic inspection valid on the vehicle, it will affect the ownership transfer procedures.
The vehicle will be displayed at the auction after receiving it within seven business days.
As a seller, you are committed to ensuring that the vehicle is free of legal and traffic problems, including but not limited to:
o Vehicle ban
o Traffic violations
o Damage to the vehicle body
The seller is committed to delivering the following:
o A copy of the vehicle registration
o A copy of the owner's ID
o Vehicle keys
o Vehicle plate
o If the vehicle is (public transport), a cancellation letter from the Public Transport Authority is required.
o In the event that the front plate or the rear plate or both are lost, a loss plate report will be delivered from the Traffic Department.
After the auction is over:
As a seller, you acknowledge that you will be contacted after the auction ends to obtain approval or rejection, and you must respond within 3 business days.
As a seller, you acknowledge that if the sale is approved, the buyer will be given a 3-day grace period to pay:
o Vehicle ready for transfer of vehicle ownership: The buyer will be given a 5-day grace period to transfer vehicle ownership from the date of payment of the vehicle value.
o Vehicle not ready for transfer: The buyer will be given a 30-day grace period to transfer vehicle ownership from the date of payment of the vehicle value.
You, as a seller, acknowledge that in the event of a rejection of the sale:
o Displaying the vehicle again: The seller will be given the opportunity to display the vehicle again (another round) at the auction with a new fee of 575 riyals.
o Not displaying the vehicle again: You, as a seller, must withdraw the vehicle from the auction yard within a maximum period of 24 hours from the rejection decision.
If the vehicle is not withdrawn within the period specified by the seller (24 hours), 50 riyals will be charged for each day or part of a day.
At the end of the auction time, the final bid amount for the vehicle will include the value of the value-added tax, if any, according to the auction policy.
If the vehicle is owned by:
o A seller who is not registered for VAT: The full amount will be transferred (without deducting the value-added tax amount).
o A seller who is registered for VAT: The value-added tax will be deducted from the final bid amount before transfer or we will be provided with the company's tax record.
• Buyer Conditions:
● Joining the Auction
The user as a natural person - taking into account the terms and conditions - has the right to request to join the auction by fulfilling the following requirements - after fulfilling what is stated in the terms and conditions -
1- Fulfilling all the data required during registration and all subsequent requirements requested by the company from the user.
2- Paying the auction entry insurance amounting to 10,000 riyals to bid on more than one vehicle and 2,000 riyals to bid on only one vehicle.
3- Activating your account as a bidder and obtaining the auction notification.
In addition to the above, it is required to complete the registration of non-Gulf nationals or legal persons.
1- The user must have a valid residence permit, and his profession qualifies him to sell and buy vehicles and vehicle wrecks.
If the vehicle is intact: No authorization is required.
In case the vehicle is damaged: Submit a letter of authorization to bid and buy certified by the sponsor, whether a natural or/and legal person. However, if the sponsor is a legal person, a copy of the valid commercial register and an authorization certified by the Chamber of Commerce must be submitted. The activity of the legal person must also be related to the sale and purchase of vehicles and/or vehicle wrecks.
Fees are paid through one of the following payment channels:

After paying the auction entry fees, you will be provided with an electronic bidder card, you have the right to use the bidder card to:
- Enter the storage yard to inspect the vehicles.
- Bid on the vehicles.
- The electronic bidder card will be activated after paying the fees.
• Inspecting the vehicle/vehicles Inspection of the unknown
You, as a bidder, acknowledge that the company has granted you the right to inspect the vehicle Inspection of the unknown and that when you bid on a vehicle, it will have been inspected before you bid on it. Also, when the auction is awarded to you, your withdrawal from the auction will not be accepted for not inspecting the item.
The bidder has the right to bring a specialist, engineer or technician at his own expense and account to inspect the condition and suitability of the vehicle.
The bidder releases the company from responsibility for any hidden defects that appear in the vehicle after the completion of the sale, as it is only a mediator and organizer of the auction, and he has the right to refer to the owner of the vehicle only.
• To be able to inspect the vehicle, you must visit the vehicle storage location (storage yard)
The bidder must show the electronic bidder card upon entry, only holders of the electronic bidder card will be allowed to enter the storage yard.
All bidders in the storage yard must abide by the rules and regulations of the storage yard:
o - Attendance at the specified times to organize the inspection of vehicles
o - It is prohibited to make any repairs or modifications to the vehicles present in the storage yard
o - It is prohibited to bring explosives and highly flammable materials into the storage yard
o - It is prohibited to place stickers or any other papers or advertisements on the vehicles present in the storage yard
o - Tampering with the vehicles present in the storage yard or any parts thereof or any vehicles/vehicle parts present in the yard will expose you to legal accountability
o - Battery charging service can be requested through the storage yard administration
o - Computer inspection services and other technical consultations can also be requested depending on the condition of the vehicle, additional fees may be imposed by the auction management for any services requested by the bidder.
• Starting the Bidding
The bidder must follow all the auction procedures himself or an authorized agent acting on his behalf. After entering the auction and bidding on the vehicle, you will not be allowed to withdraw from the auction. The sale at the auction is based on your inspection of the vehicle and the current condition of the vehicle without bearing any responsibility on the company. The bidder acknowledges that the company is not legally responsible for the vehicle sold through the auction in the event of any defect or problem in the vehicle, as you must inspect and examine it to negate ignorance of its condition. Once you bid on any vehicle in the auction, your bid will be linked to your acknowledgment of seeing/inspecting the vehicle and entering the vehicle data according to what is stated in the driving license without any responsibility on the company. The company is also not legally responsible for any deficiencies in the vehicle such as plates, keys, etc. in the event that they are not present.
Note that the auction time is automatically extended by an additional three minutes if the bidding is completed in the last three minutes.
• After the auction ends
When the auction is awarded to you as a bidder, this does not mean that the sale has been concluded, it is merely an offer from you to purchase that must be accepted by the vehicle owner. The company will be responsible for determining the seller’s/vehicle owner’s approval/acceptance of the deal for the sale to be concluded and notifying you within 3 to 5 business days.
• In the event that the owner refuses to sell the vehicle
You will be notified of the owner’s refusal and you will not have the right to claim the vehicle.
• In the event that the owner accepts to sell the vehicle
After notifying you that the auction has been awarded to you and the owner accepts to sell the vehicle, you will be obligated to pay the value of the vehicle purchase invoice and all commissions and/or fees due to the second party, as stated in the (Payment and Prices) clause below. Payment must be made within a maximum period of three days.
You must pay it from a bank account registered in your name in one of the Saudi banks, writing the reason for the transfer (it is prohibited to deposit the amount in the company's account), for example (the value of purchasing a car, its type and plate number, and it will not accept any cash amounts paid to the second party or one of its employees.
• In case of non-payment
In case you fail to pay the value of the vehicle in addition to all fees and commissions due to the company within a maximum period of three days from the date of your notification of the auction award, the company will have the right to confiscate the auction entry fees and withdraw the bidding authority from you in the future, in addition to that your account will be blocked.
• In case of payment
You must transfer the ownership of the vehicle and withdraw it from its location within 5 days. If you exceed this period, you will bear the daily shelter fees for the vehicle at a rate of 50 riyals for each day or parts of one day.
• Transfer of vehicle ownership
Transferring vehicle ownership is your responsibility as a bidder after the auction is awarded to you, and you bear all financial amounts resulting from the transfer of ownership, such as government fees or fees/costs of dropping ownership and transferring it, such as driving licenses and periodic inspection, etc. If the bidder is unable to transfer ownership of the purchased vehicle for reasons attributable to the vehicle owner, he must review the electronic auction management and submit all documents proving this within 5 days from the date of payment of the vehicle value and obtain the documents for relinquishing the vehicle

o ● If the period exceeds 30 days for transferring ownership, the exit deposit will not be refunded and a fine of 150 riyals will be charged to the buyer for each day of delay after 60 days from the exit date.
o ● If the periodic inspection is valid, the vehicle will not be taken out until its ownership is transferred according to the specified period specified in the table above, and the ownership of sound vehicles will be transferred only through the auction management.
The ownership of the vehicle must be transferred in the name of the bidder or the company that authorized him to purchase, and if it becomes clear to the company that the bidder has transferred the ownership of the vehicle in the name of someone other than the concerned bidder, the company will cancel the sale and confiscate the auction entry fees, and the shelter fees will be calculated for anything beyond the specified shelter period mentioned in the terms and conditions.
After transferring the ownership of the vehicle, the ownership transfer copy must be signed and stamped by the showroom that carried out the ownership transfer process or a copy of the original form after the ownership transfer, and a copy from the "Tamm" website for the ownership transfer will not be sufficient unless the above conditions apply.
• Receiving the vehicle
The vehicle must be received within 3 working days from the date of payment of the vehicle value, and in the event of failure to adhere to the period stated in the terms and conditions of the usage policy, you will bear the daily shelter fees, which will be settled from the auction entry insurance.
You will be obligated to bear all costs related to loading and towing the vehicle from the auction site or its location.
An exit permit must be obtained from the auction management to receive the sold vehicle from the storage yard.
In the event that the vehicle is exited with an exit insurance for the purpose of repair, the plate will be kept with the auction management until the vehicle is repaired by the customer and then the plate will be received to complete the inspection procedure and transfer ownership.
When dropping the plates to use the vehicle for spare parts (dismantling), the bidder must bring a (print) from the traffic department.
The purchased vehicle will not be released until after ensuring that its ownership has been dropped or transferred and all financial claims and full amounts and fees due for the auction have been paid.
• Payment and prices
Before the auction
Classification Eligibility Amount
A refundable fee for entering the auction is due to the company if the user wishes to enter the auction to bid on vehicles 10,000 riyals to bid on more than one vehicle

To request a refund:
The bidder sends a refund request via the application and the insurance amount is refunded to the same account from which the amount was paid within 5 working days from the date of sending the request and you will be notified by a text message with the reference number to review the bank in the event of non-refund within 21 days.
You cannot request a refund of the insurance if the vehicle status is:
o Waiting for sale approval
o Waiting for payment
o Waiting for transfer of ownership
o The vehicle has not been received from the storage yard
You can request a refund of the insurance if the vehicle status is:
o The sale of the vehicle was rejected by the owner
o The ownership of the vehicle was transferred and received from the storage yard
* The insurance is fully confiscated in the event of the buyer withdrawing from the purchase.
After the auction ends

* The value of the auction in the application is inclusive of the value added tax for the vehicle.
• Indemnification
You acknowledge and agree to indemnify us and/or any of our affiliated parties and our officers, directors, employees and/or affiliated parties immediately and upon request, for all claims, liabilities, losses, and costs, including legal fees arising from any breach or violation of these terms and conditions / usage policy by you or other damages arising from your use of the Saudi Artificial Intelligence Company website and application.
• You, as a bidder, are not entitled to claim compensation for:
- The vehicle if it turns out to have any defects after you receive it, as long as the company has enabled you to inspect and examine the vehicle.
- Confiscation of the auction entry fees in the cases mentioned in the terms and conditions of using the service
• Legal Liability
You will be legally responsible to the company if you have used the auction services to access information or data in violation of the principle of good faith, you must not be a competitor to the Saudi Artificial Intelligence Company or provide any product similar to what it offers.
You will also be legally responsible to the company if it becomes clear to it that you have purchased the vehicle fictitiously to transfer it to another person or that you have supported or covered up any crime or criminal act, and you will also be responsible for impersonating another person due to the blocking of your account.
You must also comply with all applicable laws and regulations within the Kingdom of Saudi Arabia.
The company and its affiliates expressly do not bear any responsibility arising from the unauthorized use of your user account. Or any damages resulting from the illegal hacking of the site by a third party, you should if you suspect that any unauthorized party may use your user account or suspect any other breach of security, you must agree to notify us immediately.
• Intellectual Property/Data Ownership
- The copyright and all other intellectual property rights in all materials and content provided as part of the Saudi Artificial Intelligence Company Auction Website and Application are owned by us or our licensors at all times.
- You may use such material or content only as expressly authorized in writing by us or our licensors.
- You will not, and will not assist or facilitate others in, copying, reproducing, broadcasting, distributing, adapting, using the material or content in a commercial manner, or creating works based on it.
- If you become aware of any distribution or commercial exploitation of any kind, you agree to notify us directly.
- You agree to refrain from the following (whether done by you personally or through a third party):
- Use an automated process to process, monitor, copy, or extract any pages on the Company's Website and Application, or any information, content, or data contained in or accessed through the Company's Website and Application without obtaining our prior written consent.
- Use an automated process to collect, combine or combine information, content or data contained in or accessible through the Company's website and application with information, materials or data accessed by, or originating from, a third party.
- Use any automated process to interfere with or attempt to interfere with the proper working of the Company's website and application.
- Do anything that imposes an unreasonably or disproportionately large load on the available infrastructure or bandwidth of the Company's website and application.
- Do anything that imposes an unreasonably or disproportionately large load on the available infrastructure or bandwidth of the Company's website and application.

- By submitting any data/content to the Company's website and application, you grant the Company a non-exclusive, free, perpetual, transferable, worldwide, irrevocable, sub-licensable license to:
o (a) use, reproduce, modify, edit, adapt, translate, distribute, publish, copy, broadcast and communicate it in any form, and in derivative works thereof, for display or performance to an audience anywhere in the world in any media, now known or hereafter developed;
o (b) use the name you have submitted in connection with the content. You also grant us a license to prosecute any natural or legal person who violates your or our rights in such content. You acknowledge and agree that all content submitted by you to the Company's website and application is non-confidential and non-proprietary. You acknowledge all things, and execute all required documents to enable us and allow us to take full advantage of the rights granted to us as required
• Termination
We reserve the right to immediately terminate your use of the Saudi Artificial Intelligence Company website and application in the event that you breach the terms of these terms and conditions or in the event that we believe, based on reasonable grounds, that you may breach the terms of these terms and conditions or in the event that you engage in behavior that we deem, based on our absolute discretion, unacceptable.
• Dispute Resolution
You must agree that any dispute, claim or controversy arising from or relating to these terms and conditions or the usage policy, or their violation, termination, implementation, interpretation, validity, or use of the company's platform, or services (collectively referred to as "Disputes"), will be settled amicably, and if the disputes are not resolved within 60 days, it will be through the court that has jurisdiction within the city of Riyadh. You should also acknowledge and agree that you will not post any judicial or quasi-judicial notifications or publish any complaints on social media platforms, and that the company will claim compensation from you for any complaints or negative notifications that you publish through social media sites.
• General provisions
If any provision of this agreement is considered illegal, invalid or unenforceable, whether in whole or in part, under any law, such provision or part thereof shall not be considered, and the principle of independence of texts shall apply without affecting the legality, validity and enforceability of the other provisions contained in the terms and conditions/usage policy.
